Web Design Services - Terms & Conditions

  1. Project Scope & Acceptance:
  • Project Scope Document: Before commencing any project, a detailed Project Scope Document (PSD) will be jointly created by you (the Client) and us (the Company). This document will clearly outline the deliverables, timelines, costs, functionalities, and revision processes for your website project.
  • Client Approval:Your written or digital signature on the finalized PSD signifies your acceptance of these terms and conditions and the agreed-upon project scope. Any changes requested outside the approved PSD may incur additional fees.
  1. Content & Materials:
  • Client Responsibility:You are responsible for providing all necessary content (text, images, videos, logos) and materials required for the website design and development.
  • Content Review & Approval:We reserve the right to review and request revisions for any content deemed illegal, offensive, copyrighted, or potentially harmful. Final approval of all content rests with you.
  • Delivery Methods:Content and materials can be submitted through a shared cloud storage platform, email, or an agreed-upon method. We are not responsible for delays caused by late or incomplete content delivery.
  1. Payment Terms:
  • Deposit:A non-refundable deposit of 50% of the total project cost is required to initiate the project. This deposit serves as a commitment from both parties and covers initial design and planning work.
  • Progress Payments:For larger projects, additional progress payments may be required at agreed-upon milestones throughout the project development process.
  • Final Payment & Ownership Transfer:The remaining balance is due upon completion of the website and your written approval of the final design and functionality. Ownership of the website design and development work (excluding your provided content) will transfer to you upon full payment.
  • Payment Methods:We accept payment via (list accepted payment methods, e.g., bank transfer, credit card, online payment processors).
  1. Revisions & Changes:
  • Included Revisions:The initial PSD will specify a set number of revision rounds for both design and development phases. These revisions allow for fine-tuning the website based on your feedback within the agreed-upon scope.
  • Additional Revisions:Any revisions requested beyond the included number will be billed at an hourly rate of (specify hourly rate) or a pre-determined flat fee, depending on the complexity of the change.
  • Change Orders:Significant changes to the project scope beyond the approved PSD will require a formal Change Order document outlining the new requirements, revised timeline, and any associated additional costs. You must sign the Change Order before the revised work commences.
  1. Copyright & Ownership:
  • Initial Ownership:During the project development phase, we retain ownership of all design elements, code, and website files until full payment is received.
  • Content Ownership:Upon full payment, you will own the copyright to all website content you provided (text, images, videos).
  • Design & Development Ownership:We retain ownership of the intellectual property rights to the website design, code, and development work we create for your project. However, we grant you a non-exclusive, perpetual license to use the website for its intended purpose.
  • Third-Party Licenses:Certain functionalities or plugins used on your website might have their own licensing terms. We will ensure you receive any necessary licenses for these third-party elements.
  1. Warranties & Liability:
  • Warranty Period:We warrant that the website will be free from functional defects in its core functionalities for a period of 90 days. This warranty covers bugs, errors, or malfunctions in the website code that prevent it from operating as intended within the agreed-upon scope.
  • Third-Party Issues:We are not liable for any damages, downtime, or malfunctions caused by third-party software, plugins, hosting issues, or internet service provider problems beyond our control.
  • Content & Data Security:We will take reasonable steps to secure your website and its data; however, you acknowledge that complete security cannot be guaranteed. We are not responsible for any data breaches or security vulnerabilities caused by external factors.
  • Delays & Revisions:We are not liable for any delays in project completion caused by your late content delivery or unforeseen technical challenges beyond our control. However, we will communicate any potential delays promptly and work diligently to minimize their impact.
  1. Termination:
  • Termination by Us:We reserve the right to terminate the project for cause, including non-payment, violation of these terms, or provision of inappropriate content. In such cases, any completed work up to the point of termination will be your property, but you will still be responsible for payment for work already performed.
  1. Governing Law & Disputes:
  • These terms and conditions are governed by the laws of India.
  • Any disputes arising from these terms will be settled through Online and Digitally.
  1. Entire Agreement:
  • These terms and conditions constitute the entire agreement between you and us and supersede any prior or contemporaneous communications.
